# Merchant Agreement

*Applies to: BarChata Biz venue owners* *Effective date: To be confirmed. Currently in use pending formal execution.*

This agreement governs the relationship between BarChata Corp and venue owners using BarChata Biz and related services.

## Services

BarChata Corp provides venue owners with access to BarChata Biz, including loyalty management, campaign tools, POS integration, and analytics, subject to the selected subscription plan.

## Payment

Subscription fees are billed monthly or annually as selected at signup. All fees are non-refundable except as required by applicable law.

## Data

Venue owners retain ownership of their customer data. BarChata Corp processes this data as a data processor under our Privacy Policy and Data Processing Agreement.

## Termination

Either party may terminate this agreement with 30 days written notice. BarChata Corp may terminate immediately for violations of our Terms of Service or Acceptable Use Policy.

## Limitation of Liability

BarChata Corp's liability is limited to the fees paid in the prior 3 months.

## Governing Law

This agreement is governed by the laws of the Province of Ontario, Canada.
